These Certification Program Terms and Conditions (“Terms”) are entered into between the IAPAM, Inc. (“IAPAM”) and the licensed healthcare provider within the scope of practice enrolled in the certification program. (“You”, “Your”, or “I”).
Overview
IAPAM offers a variety of certification programs (each, a “Certification”) that allows You to enhance Your skills aaand grow Your practice by adding non-insurance medical procedures to Your practice in a profitable manner. By enrolling in the Certifications, You agree to adhere to these Terms.
Eligibility
To be eligible for the Certifications and to sit for the IAPAM Certification Assessment (“Assessment”), You must:
By enrolling in the Certifications, You represent and warrant that You meet all of these eligibility requirements and that You will continue to meet these eligibility requirements at the time of the Assessment.
Confidential Information
The content of the Certification or the Assessment, including without limitation, questions, answers, or any communication, including oral communication, regarding or related to the Assessment, as well as any other nonpublic information concerning IAPAM, is IAPAM’s confidential information (“Confidential Information”). Any disclosure of Confidential Information is a violation of these Terms and could compromise the integrity and security of the Certifications. Your confidentiality obligations shall survive termination or expiration of these Terms for any reason.
Misconduct
If IAPAM discovers that You have engaged in misconduct or misuse of the Assessment or Certification or otherwise violated these Terms or assisted others in doing so: (1) You will lose all IAPAM Certifications (including the Credential Designation described below); (2) You may be barred from taking or retaking the Assessment or any other IAPAM exams or assessments; and (3) IAPAM, at its sole discretion, may choose to terminate Your membership. Examples of misconduct include, without limitation:
Credential Designation
When You successfully complete a course Assessment, You will receive a certificate of completion for that course module. Receipt of certificate of completion does not guarantee that You will receive Credential Designation or Certification. Misrepresentation of a certificate of completion as Credential Designation or Certification, is deemed misconduct and will result in expulsion from the Certification.
Upon successful completion of all required course Assessments and subject to these Terms, IAPAM grants You a personal, nonexclusive, nontransferable, revocable license to use the applicable IAPAM Certification logo (“Credential Designation”) for the sole purpose to indicate that You meet the criteria for the applicable Credential Designation. All Credential Designations are valid for a period of twelve (12) months from the date of obtaining a passing score on the Assessment.
You may not use the Credential Designation in any way that: (1) may be construed to establish an affiliation between IAPAM and any third parties other than You; (2) negatively impacts IAPAM’s reputation or goodwill; or (3) after expiration or revocation of the Credential Designation. IAPAM retains all rights, titles, and interests in the Credential Designation. Nothing herein shall be construed to grant any other rights to You.
Use of Credential Designation
The Credential Designation is only for Your personal use and cannot be used to represent that an entire medical practice or company is certified. That is only those individual persons who have enrolled in the Certifications and passed the Assessment may represent themselves as certified. Your use of the Credential Designation is subject to IAPAM’s then-current usage guidelines, a copy of which may be provided to You from time to time. Other than as expressly allowed under these Terms, You agree (1) to use the Credential Designation in a manner that is consistent with industry standards and will provide samples of use if requested by IAPAM; (2) not to modify the Credential Designation in any way; and (3) not to use, register or seek to register any mark, name (including but not limited to company and product name), taglines, social media handles, advertising keywords, or any other source identifying designation that consists of or incorporates the Credential Designation or any of IAPAM’s trademarks (“IAPAM Marks”), in any format, or is otherwise confusingly similar to IAPAM Marks. You also acknowledge that Your use of the Credential Designation upon successful completion of the Assessment is not in any way a warranty or guarantee of Your abilities with regard to the IAPAM products or services in general or any other offering. You may not suggest or represent that the Credential Designation is any such warranty or guarantee of Your abilities. The Credential Designation is not a license to be a healthcare provider and IAPAM does not issue any licenses to healthcare providers or license healthcare providers. IAPAM reserves the right to require You to submit proof of active licensure at any time.
Non-Endorsement of Products
Any brand-names of products used in the Certifications or referenced in the Assessment are for illustrative and teaching purposes only and the use of those brands is not an endorsement. All products used in the Certifications or referenced in the Assessment have been approved by the United States Food and Drug Administration or currently pending approval by United States Food and Drug Administration. Certain products used in the Certification or referenced in the Assessment have been approved by the United States Food and Drug Administration but are being used “off-label.” When performing the treatment outlined in the Certifications in Your practice, You must use products approved by Your jurisdiction’s regulatory agency.
Personal Information and Privacy
IAPAM Certification is subject to the IAPAM Privacy Policy and the IAPAM Website Policy.
Term and Termination
All Certifications are valid for twelve (12) months from successful completion of the Assessment and must be renewed by re-enrolling in the Certifications. These Terms shall continue in effect from the Effective Date until terminated as provided herein. IAPAM may terminate these Terms with or without cause upon thirty (30) days written notice to You. IAPAM may, at its sole discretion, terminate these Terms at any time and revoke Your Credential Designation if IAPAM determines that You breached the Terms herein. Upon termination of these Terms, Your rights to use the Credential Designation shall cease immediately, which requires that You immediately remove the Credential Designation from all electronic and hard copy materials, including but not limited to websites, social media sites/accounts, blogs, email signatures, résumés, and business cards. In the case of hard copy materials, any unused materials must be destroyed within ten (10) days of termination.
Indemnification
You agree to indemnify, defend, and hold IAPAM and its officers, directors, affiliates, employees, and representatives harmless from and against any and all claims, losses, liabilities, damages, costs, and expenses, including reasonable attorney’s fees, arising out of, relating to, or caused directly by Your negligent act or omissions in regard to Your use of the Credential Designation, Your healthcare practice, or breach of Your obligations under this Agreement.
Warranties
IAPAM MAKES NO WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE AND SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING ANY WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.
Limitation of Liability
IN NO EVENT SHALL IAPAM’S AGGREGATE, CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS, WHETHER IN CONTRACT, TORT OR UNDER ANY OTHER THEORY OF LIABILITY, EXCEED THE FEES PAID TO IAPAM, IF ANY, TO PARTICIPATE IN THE CERTIFICATIONS. IN NO EVENT SHALL IAPAM HAVE ANY LIABILITY TO YOU FOR ANY LOST PROFITS OR FOR ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES HOWEVER CAUSED AND WHETHER IN CONTRACT, TORT, OR UNDER ANY OTHER THEORY OF LIABILITY, WHETHER OR NOT IAPAM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
No Partnership, Agency or Joint Enterprise
You acknowledge nothing herein shall be construed as creating a partnership, agency, or any form of joint enterprise based on these Terms or Your authorized use of the Credential Designation.
Assignment
You acknowledge that the rights and obligations hereunder, including any rights to use the Credential Designation, in whole or in part, are personal and may not be assigned by You to any third party. Any attempted assignment will be null and void and shall constitute a breach of these Terms. No modification of these Terms or waiver of rights will be effective unless agreed to in writing by the party to be charged. Waiver of any breach or default will not constitute waiver or any other right under these Terms or Conditions or any subsequent breach or default.
Governing Law, Venue and Waiver of Jury Trial; Class Waiver
This Agreement shall be governed exclusively by the internal laws of the state of Delaware, without regard to its conflicts of laws rules. Any disputes arising out of these Terms shall be settled by arbitration conducted by ADR Systems. EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL IN CONNECTION WITH ANY ACTION OR LITIGATION IN ANY WAY ARISING OUT OF OR RELATED TO THIS AGREEMENT. THE PARTIES WAIVE ANY RIGHT TO ASSERT ANY CLAIMS AGAINST THE OTHER PARTY AS A REPRESENTATIVE OR MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION, EXCEPT WHERE SUCH WAIVER IS PROHIBITED BY LAW OR DEEMED BY A COURT OF LAW TO BE AGAINST PUBLIC POLICY.
Remedies
It is expressly agreed that a material breach of these Terms by You may cause irreparable harm and a remedy at law may be inadequate. In addition to any and all remedies available at law, IAPAM will be entitled to injunctive relief or other equitable remedies in the event of a threatened or actual violation of any of the provisions of these Terms.
General
IAPAM reserves the right to modify the Certifications, Credential Designation, or the Assessment at any time, without notice. IAPAM reserves the right to modify the Terms at any time, by posting to IAPAM’s website. These Terms constitute the entire agreement between the parties, and supersede all prior and contemporaneous agreements, proposals or representations, written or oral, concerning its subject matter.
If we make any material changes to this Notice or the way we use, share or collect personal Data, we will notify you by revising the “Effective Date” at the top of this Notice, prominently posting an announcement of the changes on our Site, or sending an email to the email address you most recently provided us (unless we do not have such an email address) prior to the new policy taking effect.
